Terms of Service
Please read these terms carefully before using Bridge Afrika.
1. Acceptance of Terms
By accessing or using Bridge Afrika ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree with these terms, do not use the Platform.
2. Eligibility
You must be at least 18 years old and legally able to enter into contracts in your jurisdiction. Investors should be accredited or otherwise permitted to invest under applicable law. We may request verification documents to confirm eligibility.
3. User Accounts
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must provide accurate, current information and keep it updated.
- Notify us immediately of any unauthorized use or security breach.
- One person may only hold one primary account; multiple roles (founder/investor/mentor) may be enabled on request.
4. Acceptable Use
You agree not to:
- Submit false, misleading, or fraudulent information or documents.
- Impersonate any person or entity, or misrepresent your affiliation.
- Use the Platform to harass, discriminate against, or harm others.
- Attempt to scrape, reverse-engineer, or disrupt the Platform or its security.
- Circumvent verification or fee obligations.
5. Project Submissions
Founders warrant that all submitted information is accurate and that they have the right to seek funding for their project. Projects go through the 4-stage verification process (legal validation, marketing assessment, company setup, investment readiness). Misrepresentation, plagiarism, or violation of these terms may result in rejection or account termination.
6. Investor Obligations
Investors agree to conduct their own independent due diligence before making any investment decision. Bridge Afrika facilitates connections and verification but does not provide investment advice, endorse any project, or guarantee investment outcomes or returns.
7. Fees & Payments
- Creating an account and submitting a project is free.
- A success fee is charged only when funding is successfully secured through the Platform, as disclosed during onboarding.
- Fee rates, payment processing, and currency conversion are subject to change with reasonable notice.
- All fees are exclusive of applicable taxes, which are the user's responsibility.
8. Intellectual Property
You retain all intellectual property rights to your project materials. By submitting content, you grant Bridge Afrika a non-exclusive, worldwide license to display, host, and promote your project on the Platform. The Platform's trademarks, logos, designs, and software (including the Bridge Afrika name) remain our property and may not be used without written permission.
9. User-Generated Content
You are solely responsible for content you post. Content must not infringe third-party rights, contain unlawful material, or violate these terms. We may remove content that breaches these terms or applicable law, at our discretion.
10. Limitation of Liability
Bridge Afrika acts as a matching and verification platform. To the maximum extent permitted by law, we are not liable for any investment outcomes, missed opportunities, financial losses, disputes between users, or damages arising from use of the Platform. Our aggregate liability is limited to the amounts you paid us in the preceding 12 months.
11. Indemnification
You agree to indemnify and hold harmless Bridge Afrika and its operators from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your violation of these terms.
12. Suspension & Termination
We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose a risk to the community. You may close your account at any time from your settings. Provisions that by nature should survive termination will remain in effect.
13. Dispute Resolution
These terms are governed by the laws of the Federal Republic of Nigeria. In the event of a dispute, parties will first attempt good-faith resolution through our support team. Unresolved disputes shall be subject to the exclusive jurisdiction of the courts located in Nigeria. If you are a consumer, nothing in this section limits mandatory consumer protections in your jurisdiction.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email or an in-platform notice. Continued use after changes take effect constitutes acceptance of the revised terms.
